BACKGROUND
Our Scholarship aims to fund five prospective students each year, on our Diploma in Organic Skincare Formulation Course (“Course”). By applying as a candidate to our Scholarship, you agree to abide by these Terms.
OUR OFFER
Our Scholarship provides for payment or waiver of the enrolment fee and a £200 voucher (British Pound Sterling) to cover the cost of the minimum required equipment and ingredients necessary to complete the Course.
Our Scholarship lasts for 1 year and at all times your Course progress will be monitored. A Scholarship Student should complete at least 25% of the Course per trimester, allowing for the Course to be completed within 12 months.

DEFINITIONS
All the definitions used in this section apply throughout these Terms:

- “Course” means as defined above in the Background.
- “Data Protection Legislation” all applicable data protection and privacy legislation in force from time to time in the UK including the UK GDPR (which has the meaning given to it in section 3(10) (as supplemented by section 205(4)) of the Data Protection Act 2018 (“DPA 2018”), the DPA 2018 (and regulations made thereunder) and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended and all other legislation and regulatory requirements in force from time to time which apply to a party relating to the use of personal data (including, without limitation, the privacy of electronic communications).
- “Privacy Policy” refers to our privacy policy which can be found following this link: https://formulabotanica.com/privacy-policy/.
- “Scholarship Candidate” means the party who applies for the Scholarship.
- “Scholarship Student” means the party who is selected to receive a Scholarship and takes up our offer in accordance with these Terms.
- “Scholarship” means the Scholarship program as set out on the Scholarship page of our Website, is described in ‘our offer’ above and which is governed by the Terms.
- “Terms” means these terms and conditions.
- “we”, “us”, “our” and the “School” refers to Formula Botanica which is a trading name of Herb & Hedgerow Ltd, a company registered in England, registered number 07957310, with registered offices at Wadebridge House, 16 Wadebridge Square, Poundbury, Dorchester, Dorset DT1 3AQ, UK.
- “Website” means our website which can be found following this link: https://formulabotanica.com/.
- “you” and “your” means either the Scholarship Candidate or the Scholarship Student as the context dictates.

GENERAL
- These Terms shall apply to all Scholarship Candidates and Scholarship Students. We reserve the right to change these Terms at any time.
- You must read these Terms in their entirety before you apply for the Scholarship. By submitting an application for our Scholarship, you are agreeing to these Terms.
- We reserve the right to refuse to provide a Scholarship to any applicant we consider not to be suitable for any reason in our sole discretion.

THE SCHOLARSHIP Terms
- We reserve the right to modify or otherwise change these Terms at any time as we deem necessary. We shall make such modifications by publishing updates on the Scholarship page of our Website. A Scholarship Student shall be deemed to have accepted any modification to these Terms as published from time to time.

SUITABILITY FOR THE SCHOLARSHIP PROGRAM
- The Scholarship places are awarded based on our established eligibility criteria. You must meet the eligibility requirements which are outlined on the Scholarship page of our Website.
- If we are of the reasonable view that you do not meet our eligibility criteria and you wish to appeal, we will ask you to provide us with such proof as we deem necessary to make a new assessment. You must supply us with the requested evidence as soon as reasonably possible.
- We may withdraw the Scholarship from a Scholarship Student if we subsequently establish information which makes them ineligible or in breach of these Terms.
- If we find or have reason to believe that a Scholarship Student has provided false or misleading information, we may reassess their entitlement to the Scholarship and they will be liable to reimburse the total Scholarship value.
- The Scholarship Student’s Scholarship will be removed if we are of the reasonable opinion that they have made any misrepresentation whether negligently or intentionally to us either in respect of applying for the Scholarship or during the course of and in connection with their studies at the School; or if we find that they have acted fraudulently or dishonestly in connection with securing their Scholarship or place at the School.
- You can only apply for the Scholarship once. If you have previously applied, you will be automatically disqualified if applying again.
- Scholarships cannot be deferred to the following academic year. If you decide to defer your studies, you won’t be eligible to apply for a scholarship place again.

Scholarship Student Publicity and marketing
- If your application for a Scholarship is successful, then as a Scholarship Student you agree to:
- act in an ambassadorial capacity, to provide student profiles or testimonials. For these reasons, you may be required to make yourself available at reasonable notice for any publicity and marketing campaigns which we may want to run in connection with the Scholarship, which may include but not be limited to public appearances, photographs, interviews and to attend events as required for the School; and
- the School contacting you periodically after your graduation for an update on how the Scholarship has influenced your career.
- If your application for a Scholarship is successful, then as a Scholarship Student you agree to:

THE SCHOLARSHIP STUDENT’S OBLIGATIONS
- If your application for a Scholarship is successful, as a Scholarship offer holder, you must:
- accept the Scholarship by the given deadline – students offered Scholarships will receive an official email notifying them of the awarded Scholarship, and must reply either by accepting or rejecting this offer within 7 days of receipt. Failure to respond within this period will result in the Scholarship offer being withdrawn and reassigned;
- join the Course for which you received your Scholarship for, by the given start date and before the registration deadline;
- check your student email account (which shall be provided to you upon enrolment) regularly for important information regarding your Scholarship; and
- attend 4 meetings per year with our Scholarship coordinator. These meetings are virtual and scheduled timeslots are provided to allow student attendance in different time zones.
- If your application for a Scholarship is successful, as a Scholarship offer holder, you must:

DURATION
The duration of the Scholarship is 12 months and is not renewable.

TERMINATION OF the Scholarship
- If:
- you breach any of these Terms; or
- any information provided by you in making an application for a Scholarship proves to be incomplete or inaccurate, we shall be entitled to serve a default notice on you and terminate the Scholarship with immediate effect.
- If you fail to complete the Course within the allotted timescale, you will be deemed to have failed the Course and we shall be entitled to terminate the Scholarship in accordance with these Terms.
- The School reserves the right to terminate the Scholarship, at any time for any reason whatsoever at their sole discretion, including but not limited to, if you act inappropriately or otherwise bully, harass and cause offence to other students.
- You may be required to repay the Scholarship value, in full or pro-rata at our sole discretion, if you withdraw from your Course before completion, or we terminate the Scholarship in accordance with these Terms.
- The Scholarship is subject to satisfactory progress. Scholarship Students are expected to progress at least 25% of the Course per trimester. Scholarship Students who fail to complete their Course within the requested timeframe will be removed from the Scholarship.

FORMULA BOTANICA’S OBLIGATIONS
- If you accept our offer of a Scholarship in accordance with clause 6 above, the School agrees to:
- pay or waive (as applicable) the Student’s enrolment fee for the Course;
- provide each Scholarship Student with a £200 voucher (British Pound Sterling) that should be used for purchasing the equipment and ingredients outlined under our Scholarship ingredients & equipment list. It is the Scholarship Student responsibility to acquire the listed ingredients and equipment that will be mandatory for their Course completion; and
- provide a list of global suppliers that can be used for your reference for purchasing such ingredients and equipment.
- Your Scholarship voucher will be released to you upon completion of Module 2 of the Course.
- If you accept our offer of a Scholarship in accordance with clause 6 above, the School agrees to:

STUDENT SUPPORT SERVICES
- During the learning period of the Course, the Scholarship Students and all other students will have access to a private Facebook group with is monitored daily by the School. The aim of the group is to provide an interactive learning space and peer support and not to provide one-on-one tutor support.
- Students are offered tutor support through dedicated, monitored public tutor forums. The School’s Education Team aims to provide feedback to questions in these forums within a 7-day window, although in practice responses are posted up much quicker.
- Personalised or one-on-one tutor support is not included with the Course, which allows the School to keep its course fees purposefully low. Please do not direct message our staff or abuse the Facebook group by tagging our staff with direct questions. Repeated abuse of student support services may result in your removal from the Course.
- Technical support arising from issues with our website, email, downloads or videos and related matters is unlimited via [email protected].

General
- We may transfer our rights and obligations under these Terms to another organisation.
- You may only transfer your rights or your obligations under these Terms with our prior written consent.
- A person who is not a party to these Terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Terms.
- If any provision or part-provision of these terms is or becomes invalid, illegal or unenforceable, they shall be deemed modified to the minimum extent necessary to make them valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause 11.4 shall not affect the validity and enforceability of the rest of the terms.
- A failure or delay by a party to exercise any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under these terms or by law shall prevent or restrict the further exercise of that or any other right or remedy.
- We will use the personal data that you provide to us to administer the Scholarship. We will retain all documents we receive in connection with the Scholarship along with your student records in accordance with our Privacy Policy and the Data Protection Legislation.
- If you consent to us sharing your information, we reserve the right to share your application details with any of our company affiliates, including personal data such as your email address.

LIMITATION OF LIABILITY
- Subject to clause 12.3, the entire liability of the School to the Scholarship Student in respect of any claim whatsoever or our breach of these Terms, whether or not arising out of negligence, shall be limited to the value of the enrolment fee for the Course plus the £200 voucher (British Pound Sterling) provided by us.
- Subject to clause 12.3, in no event shall the School be liable to the Scholarship Student for:
- any loss of business;
- loss of opportunity;
- loss of profits;
- any harm caused to you as a result of you not following our advice properly or having an allergic reaction; or
- for any other indirect or consequential loss or damage whatsoever.
- Nothing in these terms shall exclude or limit the School’s liability for death or personal injury resulting from the School’s negligence or that of its employees, agents or sub-contractors, or for fraud or fraudulent misrepresentation.

GOVERNING LAW AND JURISDICTION

- These Terms, and any dispute or claim arising out of or in connection with their subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the law of England and Wales.
- Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
